Default Recording sound for songwriter - a number of Requests

Hello, I am new Ok so this is a strange request [two, actually], so forgive me....and thanks in advance guys!

Here's my situation:
1] I play guitar and piano [in my bedroom ] but I also 'write' my own songs, as in, i record them. Problem is, up to now, ive been using a crappy voice recorder meant for interviewing people...and even then it's kinda crap.

This is what I've been using all this time: panasonic RR-US470 [please google it, and go to the first link, it will really help you understand what im looking for]

yeah, kinda sad. As u can see, it has a built in mic [direct recording], a monitor and a iPod-like click-wheel for control [not touch control, though], an outer speaker, and is handy. Unfortunately, there's where the postives end. Everything else about it is bleeghghghghg

So I need a handy sound recorder, but please read the following things I am looking for: [NOTE: the bolded parts are the most important points]

- The device must record quality that the result sounds like an ok-demo. Don't really need high quality, but as always, the crisper the quality the better

- What I am NOT looking for is a cable that links my guitar to the computer. WHy? I plan to record not just the guitar, but also my voice....and my piano too! So obviously, it needs a mike, built into the device. The things I record through this device would be to store my songs or song snippets, not for editing in a PC. [that Panasonic device you see in the link above should give you a rough idea of what I am looking for]

- the device MUST have a monitor AND a built-in speaker AND a built in mic.. Just like that Panasonic example. This is important.

- I must have the ability to a] make folders for me to organize, b] be able to name those folders [even if it's just few letters], c] and I must be able to name each “take” or “file” that I record under those folders. Why? This is how I plan to use the device: let's say I'm reading a book, watching TV, or just fooling around with my guitar. Then suddenly, some melody or idea comes up. I must turn on the device, and be able to record some little snippet, name that “take” or “file,” and store it in some folder of my chosing [ex: under folder “GT” for Guitar Takes] for later revision. This is how I currently “write” songs. [the Panasonic device that I used till now had folders – which is great – but there were only 5, and you couldn't name them, nor could you name the files under them, nor could you re-organize the files as you chose. Which makes it hard to identify which file has the song im looking for, without listening to each of them. Very frustrating.]

- the device must hold at least 100 hours of recording on a solid state solution. This will be a portable library of all my spontaneously recorded material. Since my crappy Panasonic that I bought in January 2008 for CDN $60-something in Futureshop can hold a good fraction of that, today's devices must obviously be up to that task. And hey, the sound would be demo-quality anyway so it wont take up too much space.

- I will hook up this device to my PC to store my files in its HDD. Therefore, the software CD that comes with the device must be compatible with Vista 64bit, and not be damn buggy! I HATE this Panasonic device I have, becuz not only does it only work with XP, it gives you a guaranteed BSOD where you will always reboot. Shame on Panasonic for such awful buggy software

- Since I mentioned I will move files to PC, it must come with a USB cable and software CD. No Firewire, I have no mac.


...which brings me to the second part of my strange request: the smartphone.

2] Is there a smartphone whose hardware allows you to do all the above that I mentioned? Or if not the hardware itself, is there a smartphone with an app that allows me to do all the above?
