I think it’s curious. Don’t read it, then.

It seems obvious to me that it’s defending corporate bosses the right to squelch objections raised by their shareholders but the language is nuts.

That's specifically written to be read by lawyers, therefore, they can use jargon that only lawyers understand. If they wanted to use plain english, the article would be longer--substantially longer possibly.

My dad is a surgeon, and I can show you articles from JAMA (Journal of the American Medical Association) that are just as obfuscated.

I don't understand your point. You still have to "understand it" though. The target audience probably uses that terminology as often as they use the bathroom and can skim that article.
